Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Intake Hero service, including the website at intake-hero.com, the maintenance-intake phone and SMS workflow, and any related applications (collectively, the "Service") provided by IntakeHero Inc., a Delaware corporation, operating as Intake Hero ("we", "us").

By using the Service you agree to these Terms. If you’re using the Service on behalf of a business, you represent that you have authority to bind that business.

1. Who can use the Service

The Service is intended for owners or authorized agents of residential rental properties in the United States who want to coordinate maintenance for their own units. You must be at least 18 years old.

2. Your account and properties

You’re responsible for keeping your account credentials secure and for the accuracy of the property, resident, and vendor information you add. You agree to:

• Only enter resident and vendor information for properties you own or are authorized to manage.
• Obtain any consent required by law for us to contact your residents and vendors by phone and SMS in connection with maintenance requests.
• Promptly remove residents and vendors when they no longer apply to your units.

3. The Service is an intake tool, not a licensed trade

Intake Hero helps triage maintenance issues and coordinates with the vendors you have selected. We are not a licensed plumber, electrician, HVAC contractor, general contractor, property manager, real-estate broker, or insurance provider, and nothing on the Service constitutes licensed advice.

The Service may suggest steps a resident could take to resolve a small issue. These suggestions are guidance, not guarantees, and the resident should always stop and contact a professional if they feel unsafe.

4. Vendors are independent

Vendors dispatched through the Service are chosen by you and are independent contractors, not our employees or agents. We don’t supervise their work, warrant their licenses, or guarantee the quality, timeliness, or safety of any service they perform.

5. Fees

Pricing for the Service is communicated to you at the time of sign-up. Unless stated otherwise in a written agreement, fees are billed monthly, are non-refundable except as required by law, and may change with 30 days’ notice.

6. Acceptable use

You agree not to:

• Use the Service to harass, defraud, or deceive anyone.
• Send SMS messages through the Service in violation of the Telephone Consumer Protection Act (TCPA), CAN-SPAM, state law, or mobile-carrier codes of conduct.
• Attempt to reverse-engineer, probe, or disrupt the Service, or access it by any means other than the interfaces we provide.
• Upload malware, spam, or unlawful content.

7. Your content

You retain ownership of the information you put into the Service ("Your Content"). You grant us a limited, worldwide, royalty-free license to host, process, transmit, and display Your Content solely to operate and improve the Service, including routing it to our providers (see the Privacy Policy).

8. No warranty

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free, or that any specific maintenance issue will be resolved.

9. Limitation of liability

To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, even if advised of the possibility. Our total liability for any claim arising out of the Service is limited to the amount you paid us for the Service in the twelve (12) months preceding the event giving rise to the claim, or one hundred U.S. dollars (USD $100), whichever is greater.

10. Indemnification

You agree to defend, indemnify, and hold harmless Intake Hero from any claims, liabilities, damages, and expenses arising out of (a) your use of the Service, (b) your violation of these Terms, (c) your failure to obtain resident or vendor consents required by law, or (d) work performed by any vendor you dispatched through the Service.

11. Termination

You can close your account at any time by emailing hello@intake-hero.com. We may suspend or terminate your access if you materially breach these Terms or if we need to protect the Service or another user.

12. Changes

We may update these Terms from time to time. If we make material changes, we’ll notify you by email or by a notice on the Service before they take effect.

13. Governing law

These Terms are governed by the laws of the State of Missouri, United States, without regard to conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in St. Louis County, Missouri, and each party consents to the personal jurisdiction of those courts.
